1. About these terms
These Terms of Use (the “Terms”) govern your use of the Formao service, operated by Formao (“Formao”, “we”, “us”). The Service includes the website formao.ai, the web app at app.formao.ai, the Formao apps for iOS and Android, the Formao desktop apps for Mac and Windows, and our API and MCP integrations.
By creating an account or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.
Our Privacy Policy explains how we handle personal information.
These Terms are published in Hebrew and in English. In case of any discrepancy between the Hebrew and English versions, the Hebrew version prevails.
2. Definitions
- “Service” — Formao’s platform for business documents, including the website, the web app, the mobile apps, the API and MCP, and all their features.
- “Organization” — a business workspace in the Service, together with its members. The organization is our customer.
- “You” — anyone who uses the Service. If you use the Service on behalf of an organization, “you” also includes that organization.
- “Customer Content” — everything that you or your organization put into the Service, such as documents, files, templates, brands, customer and contact details, comments, signature requests and newsletters.
- “AI features” — features of the Service that use artificial-intelligence models, such as drafting, editing, summarizing, completing fields, reading scanned pages and semantic search.
3. Who may use Formao
You may use the Service only if you are at least 18 years old and able to enter into a binding contract. If you open an organization, or accept these Terms on behalf of an organization, you confirm that you are authorized to bind that organization to these Terms.
4. Accounts and security
- Provide accurate information when you sign up, and keep it up to date.
- Keep your password secret and do not share your account. We recommend turning on two-step verification.
- You are responsible for activity in your account. If you suspect unauthorized use, change your password and contact us at [email protected] right away.
- The organization decides who its members are and which role and permissions each member has, and it is responsible for the access it grants.
- API keys and integrations (including MCP) act on behalf of the organization. Keep API keys secret; the organization is responsible for actions taken with its keys and integrations.
5. Your content
- Ownership. As between you and Formao, Customer Content belongs to you or to your organization. We do not claim ownership of it.
- Content in an organization. Content created in an organization’s workspace — including content created by its members — is the organization’s content.
- Our license. You grant Formao a non-exclusive, royalty-free license to host, store, copy, process, transmit and display Customer Content, only as needed to provide the Service to you — for example, to store your documents, send them to the recipients you choose, generate PDF files and run the AI features you use. The license ends when the content is deleted from the Service, subject to the retention periods described in the Privacy Policy.
- Your responsibility. You are responsible for your Customer Content and for having all the rights, permissions and consents needed to upload it, use it in the Service and send it — including any notices to, and consents from, the people whose personal information you add, such as customers, contacts, signers and newsletter recipients.
- Personal information. For personal information in Customer Content, the organization is the controller and Formao processes it on the organization’s behalf, as described in the Privacy Policy.
6. Messages and newsletters
- You are responsible for every message you send through the Service — documents, signature requests, emails and newsletters — including its content and its recipients.
- Send newsletters and other marketing messages only to recipients who have consented to receive them, in accordance with section 30A of the Israeli Communications (Telecommunications and Broadcasting) Law, 5742-1982 (the anti-spam provision), and any other law that applies to you.
- Every newsletter sent through the Service includes an unsubscribe link. You must honor unsubscribe requests, and must not send further marketing messages to people who have unsubscribed — including by adding them to a list again.
- Messages are sent through the email provider your organization configured or one configured by Formao. Delivery depends on that provider and on the recipients’ email systems, and is not guaranteed.
7. Electronic signatures
- Formao provides tools for signing documents electronically, with an audit trail that records the signing process. Signed documents are sealed with a SHA-256 fingerprint and a signing certificate (certificate of completion).
- Formao does not provide a “certified electronic signature” (חתימה אלקטרונית מאושרת) as defined in the Israeli Electronic Signature Law, 5761-2001.
- You are responsible for deciding whether an electronic signature is suitable for a particular document or transaction. Some documents require, by law or by agreement, a different form of signature or additional formalities — for example, a certified electronic signature or a handwritten signature.
- Formao is not a party to documents signed through the Service and is not responsible for their content, validity or enforceability.
8. AI features and templates
- AI features generate content automatically. Their output may be inaccurate, incomplete or unsuitable for your purpose, and you must review it before you use it, send it or sign it.
- AI output, templates and other content in the Service are not legal advice, and Formao does not provide legal advice. For legal questions, consult a qualified lawyer.
- Organizations can restrict the use of AI with policies — for example, locked clauses that AI never changes, approval before sending, and budgets.
- When you use AI features, content is sent to AI model providers as described in the Privacy Policy. Formao does not use Customer Content to train its own models.
9. Acceptable use
You may not use the Service, or allow anyone else to use it, to:
- upload, create or send unlawful content, or content that infringes the rights of others, including intellectual property and privacy rights;
- send spam, or messages to people who have not consented to receive them;
- distribute malware or any other harmful code;
- harass, threaten, defraud or mislead others, or otherwise abuse the Service or its users;
- impersonate any person or organization, or misrepresent your identity or affiliation — including in documents and signature requests;
- access, or try to access, accounts, data or systems without authorization, or circumvent security measures, usage limits or access controls;
- reverse engineer, decompile or disassemble the Service, except to the extent the law expressly permits;
- overload the Service, or disrupt its operation or that of the networks connected to it.
We may remove content, or suspend access, that violates these Terms (see section 14).
10. Fees and free trial
- The Service is currently offered free of charge or on a trial basis.
- We may introduce paid plans. If we do, we will show you the prices and terms before any charge.
- Paid plans include a 14-day free trial.
11. Third-party services
The Service works with services provided by third parties, including Sign in with Google and Sign in with Apple, AI model providers, email providers, Cloudflare, and the App Store and Google Play. Your use of these services is subject to their own terms and privacy policies. We do not control them and, to the extent permitted by law, we are not responsible for them — in particular for providers that you or your organization choose to connect, such as your own AI or email provider.
12. Availability and changes
- The Service is provided “as is” and “as available”. We do not commit to a service level (SLA), and the Service may be unavailable from time to time — for example, during maintenance, updates or outages.
- We develop the Service continuously and may add, change or remove features.
- We recommend keeping your own copies of important documents — you can export documents as PDF or Word files.
13. Intellectual property and feedback
- The Service — including its software, design, texts, graphics, the templates and other content we provide, and the Formao name and logo — belongs to Formao or its licensors and is protected by law.
- Subject to these Terms, we grant you a limited, non-exclusive, non-transferable and revocable right to use the Service for its intended purpose.
- These Terms do not give you any right in our trademarks or other intellectual property beyond this right of use.
- Feedback. If you send us suggestions, ideas or feedback, we may use them freely, without any obligation to you.
14. Suspension and termination
- By you. You may stop using the Service at any time. To delete your account and the information associated with it, follow the steps in Deleting your Formao account.
- By us. We may suspend or terminate your access, in whole or in part, if you materially breach these Terms, if the law requires it, or if it is necessary to protect the Service, its users or others — for example, in case of a security risk or abuse.
- Exporting your content. Before an account or organization is closed, you can export your documents as PDF or Word files. Except where we must act immediately — because of a legal requirement, a security risk or a serious breach — we will make reasonable efforts to notify you in advance, so that you can export your content.
- After termination. Your right to use the Service ends, and information is deleted as described in the Privacy Policy. Provisions that by their nature should survive termination — including those on content, intellectual property, disclaimers, limitation of liability, indemnity and governing law — remain in effect.
15. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied — including warranties of fitness for a particular purpose, accuracy, non-infringement, and uninterrupted or error-free operation. We do not warrant that the Service, its output (including AI output) or documents created with it will meet your needs or be legally valid for your purpose.
16. Limitation of liability
- To the maximum extent permitted by law, Formao will not be liable for any indirect, incidental, special or consequential damages, or for any loss of profits, revenue, data, business or goodwill, arising out of or in connection with the Service or these Terms.
- To the maximum extent permitted by law, Formao’s total liability for all claims arising out of or in connection with the Service or these Terms will not exceed the amounts you paid Formao for the Service in the 12 months before the claim, or ₪100 if you paid nothing.
- Nothing in these Terms limits liability that cannot be limited under applicable law.
17. Indemnity
You agree to indemnify Formao for any damage, loss, liability and reasonable expense (including reasonable legal fees) arising from a third-party claim relating to your Customer Content, to messages you sent through the Service, to your breach of these Terms, or to your violation of the law or of the rights of others. We will notify you of such a claim within a reasonable time and allow you to defend against it.
18. App Store and Google Play
If you downloaded a Formao app from Apple’s App Store, the following also applies:
- These Terms are an agreement between you and Formao only, and not with Apple Inc. (“Apple”). Formao, not Apple, is solely responsible for the app and its content.
- Your license to use the app is limited to a non-transferable license to use it on Apple-branded products that you own or control, as permitted by the Usage Rules set out in the Apple Media Services Terms and Conditions, except that the app may also be accessed and used by other accounts associated with you through Family Sharing or volume purchasing.
- Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the app.
- Formao is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the app, if any. To the maximum extent permitted by law, Apple will have no other warranty obligation with respect to the app, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty are Formao’s sole responsibility, to the extent not disclaimed in these Terms.
- Formao, not Apple, is responsible for addressing any claims by you or any third party relating to the app or your possession and use of it, including product liability claims, claims that the app fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection, privacy or similar legislation.
- If a third party claims that the app, or your possession and use of it, infringes that third party’s intellectual property rights, Formao, not Apple, is solely responsible for the investigation, defense, settlement and discharge of that claim.
- You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
- When using the app, you must comply with applicable third-party terms — for example, your wireless data service agreement.
- Questions, complaints or claims about the app should be directed to Formao at [email protected].
- Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms. Once you accept these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce them against you as a third-party beneficiary.
If you downloaded a Formao app from Google Play, Google Play’s terms of service also apply to your download and use of the app. Google is not a party to these Terms.
19. Changes to these terms
We may update these Terms from time to time. We will update the “Last updated” date at the top of this page and notify registered users of material changes. If you continue to use the Service after the changes take effect, you accept the updated Terms. If you do not agree to them, stop using the Service; you can also ask us to delete your account.
20. Governing law and jurisdiction
These Terms, and any dispute arising out of them or out of the use of the Service, are governed by the laws of the State of Israel, without regard to its conflict-of-laws rules. The competent courts in Tel Aviv-Jaffa have exclusive jurisdiction over any such dispute.
21. General
- These Terms, together with the Privacy Policy and any additional terms presented to you in the Service (for example, the terms of a paid plan), are the entire agreement between you and Formao regarding the Service.
- If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect.
- If we do not enforce a right under these Terms, or delay in enforcing it, that is not a waiver of the right.
- You may not transfer your rights or obligations under these Terms without our prior written consent. We may transfer our rights and obligations under these Terms as part of a merger, acquisition, reorganization or sale of all or part of our business.
